IMPORTANT—PLEASE READ CAREFULLY: This Domain Name Registration Agreement (the “Agreement”) is a legally binding contract governing all domain-name registration, renewal, transfer, restoration, privacy, DNS-management, and related services (collectively, the “Domain Services”) ordered from Static Data Hosting (“SDH,” “we,” “us,” or “our”).

By submitting an order, checking an acceptance box, paying an invoice, renewing or transferring a domain name, accessing the Domain Services, or permitting another person to do so through your account, you confirm that you have read, understood, and agreed to this Agreement and all Provider Terms incorporated into it. If you do not agree, do not order or use the Domain Services.

This Agreement contains important provisions concerning automatic renewal, expiration and loss of domain names, non-refundable fees, suspension, limitations of liability, indemnification, third-party dispute policies, and provider-specific governing law and arbitration.

1. Definitions

For this Agreement:

  • “You” and “your” mean the account holder, purchaser, applicant, registrant or registered name holder, beneficial user of the domain, and any person or organization authorizing or using the Domain Services.
  • “Registrant” or “Nameholder” means the person or organization recorded, or required to be recorded, as holding the registration rights to a domain name.
  • “Provider” means any registry operator, registrar of record, backend provider, privacy provider, data escrow provider, payment provider, or other third party used to supply the Domain Services.
  • “Provider Terms” means all applicable agreements, policies, rules, procedures, and requirements of dotPH, Enom, an Enom-affiliated registrar, ICANN, a registry operator, a country-code administrator, or another Provider.
  • “TLD” means a top-level domain, including a generic TLD (“gTLD”) or country-code TLD (“ccTLD”).
  • “Registration Data” means all information required or maintained in connection with a domain registration, including account, registrant, administrative, technical, billing, nameserver, and verification information.
  • “ClientBox” means SDH’s client account, ordering, billing, and support portal.

2. SDH’s Role and Provider Relationships

SDH provides the Domain Services through commercial relationships with domain registries, registrars, and wholesale providers. SDH does not operate every registry and is not necessarily the registrar of record for a domain.

For registrations within the .PH domain family, SDH provides registration and management services through its partner relationship with dotPH, the official registry of the Philippines. The dotPH Domain Name Service Agreement currently covers .PH, .COM.PH, .NET.PH, .ORG.PH, .MIL.PH, and .NGO.PH. Availability through SDH remains subject to SDH’s current product offerings and the applicable eligibility rules. SDH’s relationship with dotPH does not create a partnership at law, joint venture, employment relationship, common ownership, or authority for SDH to bind dotPH except to the extent expressly permitted by their written agreement.

For domains provisioned through Enom, SDH acts as an independent reseller or Primary Service Provider. Enom or an Enom-affiliated registrar identified in Enom’s Registration Agreement will be the registrar of record. SDH does not represent that it is an ICANN-accredited registrar unless SDH is separately identified as such in ICANN’s official records.

The registrar of record for a particular domain may be confirmed through the applicable RDAP or registration-data lookup service. Providers may change due to portfolio transfers, supplier changes, registry requirements, or other lawful operational reasons.

3. Mandatory Provider Terms Incorporated by Reference

The following Provider Terms are incorporated into and form part of this Agreement whenever applicable to your domain:

  1. For .PH-family domains: the dotPH Domain Name Service Agreement, all dotPH policies and terms, the dotPH Uniform Dispute Resolution Policy, its implementation rules, and any TLD-specific eligibility, registration-data, renewal, transfer, takedown, or security policy published by dotPH.
  2. For Enom-provisioned domains: Enom’s Registration Agreement, Enom’s applicable legal policies and product agreements, Enom’s renewal, transfer, expiration-recovery, privacy, abuse, and registration-data rules, and any agreement applicable to an optional service such as ID Protect.
  3. For gTLDs: applicable ICANN consensus policies, including the Uniform Domain Name Dispute Resolution Policy (UDRP), the Uniform Rapid Suspension System (URS) where applicable, the ICANN Transfer Policy, and the applicable Registration Data and Expired Registration Recovery policies.
  4. For every domain: all applicable registry rules, reserved-name rules, launch or claims requirements, eligibility restrictions, technical standards, court orders, administrative decisions, and laws.

You agree to review the Provider Terms before ordering. Provider Terms may be updated from time to time, and the version in effect when a transaction, renewal, dispute, or other event occurs may apply.

4. Order of Precedence and Separate Legal Relationships

If terms conflict, the following order applies to the extent of the conflict:

  1. mandatory law, court order, or binding regulatory requirement;
  2. mandatory ICANN, registry, ccTLD, registrar, or Provider Terms for the affected domain;
  3. this Agreement for the relationship between you and SDH; and
  4. an order form, invoice, promotion, or other service description.

Your legal relationship with a Provider is separate from your relationship with SDH. In particular:

  • dotPH’s Provider Terms currently specify their own governing law and jurisdiction for .PH registrations, including Hong Kong law and courts.
  • Enom’s Registration Agreement currently provides for Washington State law and individual arbitration administered by JAMS in King County, Washington for disputes governed by that agreement.

Those provisions govern claims within the scope of the applicable Provider Terms. They do not replace Section 31 of this Agreement for a dispute solely between you and SDH, unless mandatory law or a Provider Term requires otherwise.

5. Eligibility, Capacity, and Authority

You represent and warrant that:

  • you are at least 18 years old and legally capable of entering into this Agreement;
  • if acting for an organization or another person, you have authority to bind that organization or person;
  • if registering a domain for a third party, you have given that person notice of all applicable terms and obtained their express authorization and consent;
  • you satisfy all eligibility and documentary requirements for the requested TLD; and
  • you are not prohibited by law, sanctions, Provider policy, or a prior order from receiving the Domain Services.

If you resell or arrange Domain Services for your own customer, you remain responsible to SDH for that customer’s order, payment, instructions, Registration Data, conduct, and compliance. You must obtain and retain evidence of the customer’s acceptance of all applicable agreements.

6. Application, Availability, and Acceptance

A search result, quotation, cart entry, invoice, or payment does not guarantee that a domain will be registered, renewed, transferred, or restored. A domain transaction becomes effective only when accepted and completed by the applicable Provider or registry.

Domain names are generally allocated on a first-come, first-served basis. A domain shown as available may become unavailable before completion because of simultaneous orders, registry latency, technical errors, reserved-name rules, premium classification, eligibility restrictions, or a prior third-party transaction.

SDH and the applicable Provider may reject or cancel an application where permitted by law or Provider Terms. If a new registration cannot be completed, SDH’s obligation will ordinarily be limited to refunding or crediting the amount paid to SDH for that unsuccessful registration, less any non-refundable third-party charge already incurred and disclosed to you.

7. Nature of Domain Registration

A domain registration is a limited, conditional, and renewable contractual right to use a domain name for the paid registration period. It does not create an absolute property right and does not guarantee immunity from objection, dispute, suspension, cancellation, transfer, redelegation, or operation of law.

You do not acquire ownership of any registry or registrar database, system, software, record compilation, protocol, or Provider intellectual property.

8. Accurate Registration Data and Verification

You must provide true, current, complete, accurate, and reliable Registration Data. You must update changed information immediately and, for an Enom-provisioned domain, no later than seven (7) days after the change.

You must monitor your registered email address and respond within the deadline stated in any verification, accuracy, security, abuse, ownership, or legal inquiry. For an Enom-provisioned domain, failure to respond for more than fifteen (15) days to a registration-data accuracy inquiry may constitute a material breach. A shorter period may apply when required by law, Provider policy, or an urgent security issue.

False, incomplete, misleading, outdated, secretive, or unverifiable Registration Data may result in rejection, lock, hold, suspension, cancellation, deletion, or non-renewal without refund where permitted by Provider Terms or law.

You are responsible for all information submitted by your employee, consultant, developer, hosting provider, agent, reseller, or other representative. SDH may rely on the apparent authority of a person using your authenticated account or verified contact channel unless SDH has actual notice of unauthorized use.

9. Registrant Rights and Responsibilities

You are responsible for determining whether registration or use of a domain violates another person’s trademark, copyright, trade name, privacy, publicity, contractual, or other rights. SDH does not perform legal-clearance, trademark, ownership, or entitlement searches.

You represent and warrant that:

  • all statements made in connection with the Domain Services are complete and accurate;
  • the domain is not being registered or used for an unlawful, fraudulent, deceptive, malicious, or abusive purpose;
  • to the best of your knowledge, the registration and use do not infringe any third-party right;
  • you will use the domain in good faith and comply with all applicable laws and Provider Terms; and
  • you will remain responsible for anyone to whom you license, delegate, or permit use of the domain.

For gTLD registrations, you should also review ICANN’s Registrant Rights and Responsibilities.

10. Account Security and Authorized Instructions

You are solely responsible for safeguarding your ClientBox login, password, support PIN, email account, two-factor authentication, EPP/Auth Code, recovery information, devices, and authorized-user access. You must use a unique password and enable available security controls.

A person with access to your credentials may be able to change Registration Data, nameservers, DNS records, contacts, privacy settings, renewal settings, or transfer status. Subject to reasonable verification procedures, instructions submitted through your authenticated account or verified contact channels may be treated as authorized and binding instructions.

You must notify SDH immediately of suspected compromise, unauthorized transfer, unauthorized contact change, or loss of account access. SDH may impose a temporary lock, hold, restricted-access status, or additional verification requirement while investigating.

SDH may require government-issued identification, corporate records, authorization letters, payment evidence, historical account information, notarized documents, or other reasonable proof before processing a sensitive request. Processing time caused by necessary verification is not a service failure.

11. Designated Agent Authorization

To the extent permitted by the ICANN Transfer Policy and the applicable Provider Terms, you expressly authorize SDH and the registrar of record to act as your “Designated Agent” for purposes of approving a Change of Registrant on your behalf.

A Change of Registrant may trigger notices, verification requirements, or a transfer lock. Your authorization does not require SDH to approve a request that appears fraudulent, disputed, incomplete, or inconsistent with Provider policy.

12. Fees, Prepaid Service, and Price Changes

All Domain Services are provided on a prepaid basis. SDH is not required to submit or complete a transaction until full cleared payment and all required information have been received.

You must pay the registration, renewal, transfer, redemption, restoration, privacy, premium-domain, verification, registry, tax, processing, currency, and other charges displayed at checkout or otherwise communicated before processing.

Domain prices may change because of Provider pricing, registry classification, exchange rates, taxes, supplier fees, or promotional changes. Unless SDH expressly confirms a fixed future price in writing, every future transaction will be charged at the then-current price.

Premium domains and certain TLDs may carry non-standard registration, transfer, or renewal fees. A low introductory or promotional price does not guarantee the same renewal price.

13. Refunds, Reversals, and Chargebacks

Once a registration, renewal, transfer, redemption, restoration, privacy, or other domain transaction has been submitted to or completed by a Provider, the related fee is generally non-refundable, except where this Agreement expressly provides otherwise or applicable law requires a refund.

You must contact SDH and allow a reasonable opportunity to investigate a billing issue before initiating a chargeback or payment reversal. A fraudulent or improper chargeback, reversed payment, or unpaid fee may result in suspension of your account or affected Services, recovery of Provider and processing costs, and collection action, subject to applicable law and Provider policy.

A billing dispute does not extend a domain’s expiration date or require SDH or a Provider to advance registry fees on your behalf.

14. Registration Term and Renewal

A domain is registered only for the term accepted by the applicable Provider. The available registration periods shown by SDH may be more limited than the periods a Provider technically supports.

You are solely responsible for renewing each domain before its expiration date. SDH and/or a Provider may send invoices and reminders as a convenience or as required by policy. Failure to receive, read, or act upon a reminder does not remove your renewal responsibility.

You must maintain accurate billing and contact information, monitor ClientBox and the registered email address, and keep your own independent renewal records.

For .PH-family domains, the Nameholder’s priority or right of first refusal to renew may end on the last day of the paid term under dotPH policy. You should therefore pay well before expiration.

15. Automatic Renewal

If automatic renewal is enabled and supported for the TLD, you authorize SDH to attempt collection and renewal before expiration using the payment method or account balance on file.

Automatic renewal is not guaranteed. It may fail because of an expired card, insufficient funds, payment rejection, missing authorization, price change, unsupported TLD, account restriction, Provider outage, registry maintenance, or other technical or administrative reason.

You remain responsible for confirming in ClientBox or through SDH support that payment was received and the Provider successfully renewed the domain. A pending invoice, payment receipt, or attempted charge is not proof of registry renewal.

16. Expiration, Interruption, Redemption, and Deletion

If a domain is not renewed on time, it may expire immediately. The website, email, DNS, security certificates, authentication records, and all services that depend on the domain may stop functioning.

The registrar or registry may change nameservers, interrupt DNS, display a parking or expiration page, place the domain on hold, change registration-data display, offer the domain at auction, or otherwise handle it according to Provider Terms.

A Provider may, but is not always required to, offer a reactivation, grace, redemption, or restoration period. Availability, duration, and cost vary by TLD and Provider and are not guaranteed. You must pay all applicable renewal, redemption, restoration, and processing fees before SDH is required to attempt recovery.

After applicable recovery periods end, the domain may be deleted, reserved, auctioned, transferred, or registered by another party. SDH cannot guarantee recovery of an expired domain and is not liable for loss resulting from late or failed renewal except to the extent liability cannot lawfully be excluded.

Restoring a domain does not guarantee immediate restoration of connected services. DNS propagation, cached records, certificate reissuance, email queues, and third-party systems may require additional time or manual repair.

17. Transfers and Changes of Registrant

Transfers are governed by the applicable Provider Terms. A transfer may require:

  • an unlocked domain;
  • a valid EPP/Auth Code or transfer authorization;
  • access to the registered email address;
  • identity or authority verification;
  • acceptance by the gaining registrar; and
  • completion before expiration.

For gTLDs, a transfer is generally restricted during the first 60 calendar days after initial registration and during the first 60 calendar days after an inter-registrar transfer. Additional locks may apply after a Change of Registrant or because of fraud, dispute, court order, UDRP or URS proceeding, registry restriction, or another ground allowed by policy.

Enom-provisioned transfers commonly require several business days. You assume the risk of initiating a transfer close to expiration, failing to respond to authorization messages, providing an incorrect Auth Code, or allowing the domain to expire during processing.

dotPH transfer procedures may differ from ICANN gTLD procedures. SDH will not unreasonably prevent a legitimate .PH transfer, but may require reasonable verification of the Nameholder and compliance with dotPH procedures.

18. Free, Discounted, and Promotional Domains

A free or discounted domain offered with hosting or another service is subject to the promotion’s eligible TLDs, minimum term, payment status, and renewal price.

Unless expressly stated otherwise, a free-domain offer applies only to the initial registration term. Renewals are billed at the then-current renewal price.

If the qualifying service is cancelled, refunded, charged back, downgraded, or terminated before the required minimum term, you may be required to pay the then-current standard registration price or promotional recovery amount before separate management or transfer is processed, to the extent allowed by Provider policy and law.

19. DNS, Nameservers, and Connected Services

You are responsible for the accuracy and security of nameservers and DNS records unless SDH has expressly agreed in writing to manage them. You must review DNS changes before approval and maintain independent records of critical settings.

DNS changes may require time to propagate and may affect websites, email, authentication, verification, security certificates, or other services. SDH does not control every resolver, registry, nameserver, network, cache, receiving mail system, or third-party platform.

Domain registration does not include hosting, email, SSL, DNS management, monitoring, backup, restoration, or cybersecurity services unless expressly identified in your order.

20. Registration Data, Privacy, and Disclosure

You authorize SDH to collect, verify, use, retain, transmit, and disclose Registration Data as reasonably necessary to provide the Domain Services, process payments, prevent abuse or fraud, resolve disputes, comply with Provider contracts, and satisfy legal obligations.

Registration Data may be provided to dotPH, Enom, the registrar of record, a registry operator, ICANN, data escrow providers, privacy or proxy providers, payment processors, technical suppliers, dispute-resolution providers, professional advisers, and competent authorities.

Some Registration Data may be published or made accessible through RDAP, WHOIS, tiered-access, or another registration-data service where permitted or required by applicable policy or law.

If you provide another person’s personal information, you represent that you gave them appropriate notice and obtained all legally required consent, including express consent where required by a Provider. You must retain evidence of that consent and provide it on reasonable request.

SDH will process personal data in accordance with applicable law, including the Philippine Data Privacy Act of 2012, and its applicable privacy notices. A request to delete data will be honored only to the extent the data is no longer required to provide the Domain Services or satisfy legitimate contractual, security, accounting, dispute, or legal obligations. Deleting required data may result in suspension or cancellation of the affected Service.

21. Privacy or Proxy Services

Privacy or proxy protection may be available for selected TLDs and may require a separate Provider agreement. It is not guaranteed and is not available for every TLD.

A privacy service does not permit false Registration Data or unlawful use. It may be suspended, disabled, or disclosed when required by Provider policy, law, court order, dispute proceeding, abuse investigation, payment issue, or a valid registration-data request.

22. Prohibited and Abusive Use

You must not register, configure, maintain, or use a domain for unlawful, fraudulent, deceptive, harmful, or abusive activity, including:

  • phishing, pharming, impersonation, identity theft, or fraud;
  • malware, ransomware, spyware, viruses, malicious redirects, or unauthorized code;
  • botnets, command-and-control infrastructure, denial-of-service attacks, or unauthorized access;
  • unsolicited bulk messaging, email abuse, domain snowshoeing, mail bombing, or evasion of anti-spam controls;
  • cybersquatting, typosquatting, counterfeiting, piracy, or infringement of intellectual-property or privacy rights;
  • child sexual abuse material, trafficking, terrorism, unlawful exploitation, or credible threats of violence;
  • illegal gambling, illegal sale of regulated goods, or other unlawful commercial activity;
  • false claims of affiliation, sponsorship, authorization, or endorsement;
  • misuse of Registration Data, privacy services, DNS, forwarding, or Provider systems; or
  • attempts to evade a lawful suspension, security control, abuse investigation, court order, or Provider restriction.

You are responsible for all content and activity associated with the domain, including activity performed by employees, contractors, customers, tenants, users, licensees, or compromised systems under your control.

23. Investigation, Suspension, Cancellation, and Remedial Action

SDH may investigate suspected breach, request information or remediation, restrict account access, suspend SDH-provided services, or request or facilitate a Provider action where reasonably necessary to:

  • address non-payment, chargeback, fraud, compromise, inaccurate Registration Data, or unauthorized activity;
  • stop prohibited or abusive conduct;
  • comply with Provider Terms, a legal order, or a dispute decision;
  • correct a registration or administrative error;
  • protect SDH, a Provider, the DNS, another customer, or the public; or
  • avoid or reduce legal, security, operational, or reputational harm.

A Provider may independently deny, lock, hold, redirect, suspend, cancel, delete, transfer, or modify a domain under its own terms. SDH may be required to implement or pass through that decision and may not have authority to reverse it.

Where practical and legally permitted, SDH may give notice and an opportunity to respond. Immediate action may be taken for urgent security threats, fraud, unlawful activity, Provider instructions, preservation of evidence, or legal requirements.

No refund is due for suspension or termination caused by your breach, except where required by law.

24. Domain Disputes, Legal Orders, and Takedown Requests

You agree to all mandatory dispute policies applicable to your domain, including:

  • the dotPH Uniform Dispute Resolution Policy and its implementation rules for .PH-family domains;
  • the ICANN UDRP for applicable domains;
  • the URS for applicable new gTLDs; and
  • any applicable registry, registrar, court, or arbitral procedure.

SDH is not a court, arbitrator, or trademark tribunal and does not decide competing ownership or intellectual-property claims. SDH may maintain the status quo or impose a lock until the parties provide a settlement, final court order, authorized administrative decision, or other documentation acceptable under the applicable policy.

For .PH domains, dotPH’s published takedown policy generally requires a valid and enforceable legal order from a competent authority before registry takedown. A registrar may have separate authority under its own agreement to act on abuse or breach.

You must monitor your registered email address and respond promptly to dispute or legal notices. Failure to respond may result in loss, transfer, suspension, or cancellation of the domain.

25. Customer Support and Conduct

Domain support requests must be submitted through ClientBox or another channel expressly designated by SDH. You must provide the domain name, account details, relevant evidence, and any authorization reasonably required.

Support does not include legal advice, trademark clearance, litigation representation, guaranteed recovery, third-party system repair, or work outside the purchased service unless SDH separately agrees in writing.

Threatening, abusive, discriminatory, harassing, fraudulent, or unsafe conduct toward SDH personnel is prohibited. SDH may restrict support channels, require communications in writing, end a call or live session, or suspend non-essential support access. If a legal claim is threatened or pending, SDH may require all further communications to occur through written or legal channels.

26. Third-Party Systems and Events Beyond SDH’s Control

The Domain Services depend on Providers, registries, registrars, DNS infrastructure, payment systems, telecommunications, Internet routing, and government or regulatory systems that SDH does not control.

SDH is not responsible for a Provider’s act, omission, outage, policy or price change, processing delay, security incident, insolvency, discontinuation, registry redelegation, or refusal to process a transaction, except to the extent responsibility cannot lawfully be excluded.

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, fire, flood, earthquake, epidemic, war, terrorism, civil disorder, labor action, cyberattack, denial-of-service attack, widespread network failure, government action, supplier failure, registry or registrar outage, or loss of power or telecommunications. Payment obligations already due are not excused.

27. Disclaimer of Warranties

To the fullest extent permitted by law, the Domain Services are provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis.

SDH does not warrant that:

  • a requested domain is available or will be successfully registered;
  • a domain will be continuously available, transferable, renewable, recoverable, secure, or free from dispute;
  • the Domain Services will be uninterrupted, error-free, or immune from unauthorized access;
  • a domain will produce traffic, ranking, reputation, revenue, or any particular result; or
  • registration or use will prevent a legal, trademark, registry, or administrative challenge.

No oral statement, support response, estimate, or informal communication creates a warranty or obligation not expressly stated in this Agreement or a written order accepted by SDH.

28. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SDH and its owners, officers, employees, contractors, agents, affiliates, and Providers will not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages, or for loss of profit, revenue, goodwill, opportunity, data, email, traffic, customers, business, or anticipated savings.

This exclusion applies to claims arising from or related to:

  • registration, non-registration, renewal, non-renewal, expiration, deletion, redemption, transfer, lock, suspension, cancellation, or loss of a domain;
  • DNS, nameserver, website, email, certificate, privacy, or registration-data failure;
  • unauthorized access, credential compromise, hijacking, or instructions processed through an authenticated account;
  • application of a Provider policy, UDRP, URS, dotPH policy, court order, or legal requirement;
  • third-party conduct or systems; or
  • events beyond SDH’s reasonable control.

To the fullest extent permitted by law, SDH’s total aggregate liability for all claims relating to an affected domain will not exceed the total amount you paid directly to SDH for that domain’s Domain Services during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations apply regardless of legal theory and even if SDH was advised that damage was possible. They do not exclude liability that cannot lawfully be excluded, including any mandatory consumer right or liability for fraud or willful misconduct to the extent applicable law prohibits exclusion.

29. Indemnification and Defense

To the fullest extent permitted by law, you agree to defend, indemnify, release, and hold harmless SDH, dotPH, Enom, the registrar of record, registry operators, ICANN, Providers, and each of their owners, directors, officers, employees, contractors, agents, affiliates, and professional advisers from third-party claims, demands, proceedings, liabilities, losses, damages, penalties, judgments, settlements, and reasonable legal fees and costs arising from or relating to:

  • your application, registration, use, content, sale, licensing, control, or transfer of a domain;
  • your breach of this Agreement, Provider Terms, warranty, or representation;
  • infringement or alleged infringement of another person’s rights;
  • your unlawful, fraudulent, malicious, or abusive activity;
  • Registration Data or third-party personal data supplied by you;
  • instructions from your account, employees, contractors, agents, resellers, or authorized users; or
  • a product, service, website, email, DNS record, or activity associated with the domain.

SDH may require reasonable written assurances of your ability to perform these obligations. You may not settle a claim in a manner that admits fault by or imposes an obligation on an indemnified party without that party’s prior written consent.

The indemnified Providers are intended third-party beneficiaries of the provisions that expressly protect them. This Section survives expiration, transfer, cancellation, or termination.

30. Termination and Survival

You may stop using the Domain Services or request cancellation, but cancellation does not reverse a completed registry transaction, entitle you to a refund, or ensure immediate public availability of the domain.

SDH may terminate this Agreement or an affected Service for material breach, non-payment, unacceptable risk, Provider instruction, discontinuation of a Provider relationship, or another ground allowed by this Agreement or law.

If SDH discontinues a Domain Service for reasons unrelated to your breach, SDH may, where practical, provide reasonable notice and transfer assistance. SDH does not guarantee that the same Provider, price, features, or TLD will remain available.

Sections concerning payment, Registration Data, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and any provision intended by its nature to survive will remain effective after termination.

31. Governing Law and Venue for SDH Disputes

Except where a mandatory Provider Term, domain-dispute policy, or law governs a particular matter, this Agreement and disputes solely between you and SDH are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

Subject to mandatory consumer, procedural, or jurisdictional law, the parties agree that proceedings relating solely to the SDH-customer relationship will be brought before the court of competent jurisdiction in Cebu City, Philippines.

This Section does not displace the governing law, arbitration, jurisdiction, or submission-to-courts provisions contained in the dotPH, Enom, ICANN, UDRP, URS, registry, or other applicable Provider Terms.

32. Changes to This Agreement and Provider Terms

SDH may update this Agreement to reflect changes in law, Provider Terms, industry policy, pricing practices, security requirements, operations, or the Domain Services. The updated version will be published with a revised effective date or version number.

Material changes may be communicated through ClientBox, email, the SDH website, or another reasonable channel. Your continued use, renewal, or management of Domain Services after the effective date constitutes acceptance to the extent permitted by law.

Provider Terms may change independently of SDH. SDH is not required to reproduce every Provider change in this Agreement. If you do not agree to a change, your remedy is to discontinue the affected Service and, where permitted, transfer the domain before expiration. Previously paid fees remain non-refundable unless law or the applicable terms provide otherwise.

33. Electronic Communications and Notices

You consent to receive agreements, invoices, notices, renewal reminders, security alerts, verification requests, Provider messages, and other communications electronically through ClientBox or your email address on file.

You agree that an electronic acceptance, authenticated account action, order submission, or other reliable electronic record may evidence your consent to this Agreement. SDH may retain the applicable agreement version, account identifier, date and time, IP address, transaction record, and related audit information as evidence of acceptance, subject to applicable privacy and retention requirements.

A notice will be considered delivered when sent to the current ClientBox or Registration Data contact information, posted in ClientBox, or otherwise delivered as permitted by applicable Provider Terms or law. You bear the risk of failing to maintain or monitor those channels.

34. Assignment and Provider Changes

You may not assign this Agreement or transfer account responsibility except through an approved change-of-registrant, account-push, or domain-transfer process.

SDH may assign this Agreement or transfer provision or management of Domain Services as part of a Provider change, portfolio transfer, merger, acquisition, reorganization, or sale of business, subject to applicable law and Provider Terms. A registrar or registry may also complete a bulk or partial portfolio transfer.

35. No Agency, Partnership, or Third-Party Representation

Except for the limited reseller, registrar-service, or Designated Agent authority expressly described in this Agreement or a Provider contract, nothing creates an agency, employment, fiduciary, partnership, franchise, or joint-venture relationship between you, SDH, dotPH, Enom, a registrar, or a registry.

You may not represent that you are SDH, dotPH, Enom, an ICANN-accredited registrar, a registry, or an authorized representative of any of them unless you have separate written authorization.

36. General Provisions

This Agreement, the Provider Terms, and an accepted order form constitute the complete agreement between you and SDH regarding the Domain Services and supersede prior discussions or communications on the same subject.

If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. A failure or delay in enforcing a right is not a waiver. Headings are for convenience and do not limit interpretation.

Any ambiguity will be resolved by considering the Agreement as a whole, the nature of the Domain Services, the applicable Provider Terms, and mandatory law—not automatically against the party that prepared the text.

If this Agreement is translated, the English version controls to the extent permitted by law.

37. Contact and Support

For domain registration, renewal, transfer, billing, abuse, privacy, or account-security concerns, submit a support ticket through the Static Data Hosting ClientBox.

For an urgent domain-security issue, contact SDH as soon as possible and provide the affected domain name, account information, a clear description of the incident, and supporting evidence. Do not send passwords or EPP/Auth Codes through an insecure or unverified channel.


Customer Acknowledgment

By ordering or using the Domain Services, you expressly acknowledge and agree that:

  • SDH may act as a reseller or Primary Service Provider, while a third party remains the registry or registrar of record;
  • you accept this Agreement and every applicable Provider Term;
  • for .PH-family domains, you accept the dotPH Domain Name Service Agreement, dotPH policies, and dotPH dispute rules;
  • for Enom-provisioned domains, you accept Enom’s Registration Agreement and applicable Enom, ICANN, registry, UDRP, and URS policies;
  • provider-specific governing-law, jurisdiction, and arbitration provisions may apply;
  • completed domain transactions are generally non-refundable;
  • you are responsible for accurate Registration Data, account security, and timely renewal; and
  • failure to renew before expiration may result in interruption or permanent loss of the domain and connected services.
